Engagement and voting
The following is a report of Insight's engagement with companies on issues of corporate governance and corporate responsibility. It includes a record of our voting recommendations to our clients.
Actively engaged shareholders
If companies are to create long-term shareholder value while meeting the legitimate legal and ethical expectations of their stakeholders, it is important that they are well governed. Corporate governance is primarily the role of the board of directors. However, it is now widely accepted that institutional investors have an important role to play in ensuring the effectiveness of corporate governance. Insight's view is that this role is best played through active company monitoring, engagement and voting, undertaken in the context of professional investment analysis and decision-making. Insight has brought together a substantial team of specialists to fulfil this function. Our activities are guided by a set of policies.
The need for investor accountability
There is growing acceptance that it is desirable for institutional investors to be more accountable for shareholder activism. In Insight's case, this accountability is owed principally to our pension, life assurance and investment fund clients; the customers and beneficiaries who invest in these funds; and to the companies in which we invest.
Annual Report
On April 30th, we published our first annual report on responsible investment entitled 'Putting Principles into Practice', covering our activities in 2006. The report provides a comprehensive account of how we embed analysis of corporate governance and corporate responsibility issues into our day-to-day investment operations, and how we encourage companies to improve their performance in these areas through engagement. The report coincides with the first anniversary of the launch of the UN Principles for Responsible Investment (PRI). Insight was one of the founding signatories to the PRI. The principles set out a broad framework for investor action, emphasising the importance of integrating ESG issues into conventional investment analysis, being active, responsible owners by promoting good corporate practice in these areas and reporting transparently on the action taken on each Principle. The sixth PRI principle is 'to report on our activities and progress towards implementing the Principles'. 'Putting Principles into Practice' is our way of demonstrating our compliance with the PRI and extends our longstanding commitment to transparency and accountability. As far as we know, Insight is the first asset management to publish a fully compliance PRI report.
